• Are at least 13 years old (or 16 in the EEA), or have parental consent if required by your jurisdiction.
• Have the legal capacity to enter into a binding agreement.
• Will comply with these Terms and all applicable laws and regulations.
• Have read and understood our Privacy Policy.

We may update these Terms from time to time. Continued use of VybeClip after changes constitutes acceptance of the updated Terms.

2. Description of Service

VybeClip provides an AI-powered platform that enables users to:

• Upload long-form video content for automated clip generation.
• Generate short-form clips with AI-powered highlight detection.
• Add automated captions, branding, and visual enhancements.
• Connect social media accounts (TikTok, YouTube, Instagram, Twitter/X) via OAuth 2.0.
• Publish clips directly to connected social media platforms.
• Manage content scheduling and multi-platform distribution.

Service features may vary by subscription tier. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

3. Account Registration and Security

To use VybeClip, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your password and account credentials.
• Notify us immediately of any unauthorized access or security breach.
• Accept responsibility for all activities that occur under your account.
• Not share your account credentials or allow others to access your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

4. Content Ownership and Rights

4.1 Your Content

You retain all ownership rights to the original content you upload to VybeClip. By uploading content, you grant us a limited, non-exclusive, royalty-free license to:

• Process, transform, and store your content to provide our services.
• Generate clips, captions, and enhancements as directed by you.
• Transmit your content to third-party platforms you have authorized.

This license terminates when you delete your content or close your account, except for content already published to third-party platforms.

4.2 Generated Content

Clips, captions, and other outputs generated by VybeClip from your original content belong to you. We claim no ownership over AI-generated outputs derived from your content.

4.3 VybeClip Intellectual Property

VybeClip's platform, software, algorithms, branding, and documentation are our intellectual property. You may not copy, modify, distribute, or reverse-engineer any part of our service.

5. User Responsibilities and Content Standards

You are solely responsible for all content you upload and publish. You represent and warrant that:

• You own or have all necessary rights, licenses, and permissions to use and publish the content.
• Your content does not infringe any third-party intellectual property, privacy, or other rights.
• Your content complies with all applicable laws and regulations.
• You have obtained all necessary consents from individuals appearing in your content.

We reserve the right to remove any content that violates these standards and to suspend or terminate accounts of repeat offenders.

6. Third-Party Platform Integrations

6.1 OAuth Authorization

When you connect a social media account to VybeClip:

• You authorize us to access your account using OAuth 2.0 with the specific permissions you approve.
• We will only request the minimum permissions necessary to provide our services.
• We will only post content when you explicitly initiate and confirm the action.
• You can revoke access at any time through your VybeClip account settings or the platform's permission settings.

6.2 Platform Terms Compliance

You acknowledge and agree that:

• Content published through VybeClip must comply with the destination platform's community guidelines and terms of service.
• VybeClip is not responsible for actions taken by third-party platforms (content removal, account suspension, etc.).
• Platform API availability and features may change without notice, which may affect VybeClip functionality.
• You are responsible for understanding and complying with each platform's monetization, copyright, and content policies.

6.3 TikTok-Specific Terms

When using TikTok integration, you additionally agree to:

• Comply with TikTok's Terms of Service and Community Guidelines.
• Not use VybeClip to artificially inflate engagement, create spam, or violate TikTok's authenticity policies.
• Ensure all content posted to TikTok complies with TikTok's music licensing and copyright policies.
• Acknowledge that TikTok may limit, suspend, or terminate API access, which may affect VybeClip's TikTok features.

6.4 YouTube-Specific Terms

When using YouTube integration, you additionally agree to:

• Comply with YouTube's Terms of Service and Community Guidelines.
• Acknowledge that by using VybeClip's YouTube integration, you are also bound by Google's Privacy Policy.
• Ensure content complies with YouTube's copyright, monetization, and advertising policies.
• Not use VybeClip to engage in any activity that violates YouTube's API Services Terms of Service.

7. Subscriptions, Credits, and Payments

7.1 Subscription Plans

VybeClip offers various subscription tiers (Free, Starter, Pro, Enterprise) with different features and credit allocations. Plan details and pricing are available on our website and may be updated from time to time.

7.2 Credits System

• Credits are used to process videos and generate clips.
• Credits are allocated monthly based on your subscription tier and reset on your billing anniversary.
• Unused credits do not roll over to the next billing period unless otherwise specified.
• Additional credits may be purchased at the rates specified on our pricing page.

7.3 Billing and Payments

• Paid subscriptions are billed in advance on a monthly or annual basis.
• Payment processing is handled securely by Stripe. We do not store full payment card details.
• You authorize us to charge your payment method for all fees associated with your subscription.
• Failed payments may result in service suspension until payment is resolved.

7.4 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings.
• Cancellation takes effect at the end of your current billing period.
• We do not provide prorated refunds for partial billing periods.
• Refund requests for exceptional circumstances may be submitted to billing@vybeclip.ai.

8. Acceptable Use Policy

You agree NOT to:

• Use VybeClip for any illegal purpose or to violate any laws.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Interfere with or disrupt the integrity or performance of our service.
• Use automated scripts, bots, or scrapers to access VybeClip without authorization.
• Circumvent any usage limits, credit systems, or access controls.
• Resell, sublicense, or commercially exploit VybeClip without our written consent.
• Use VybeClip to develop a competing product or service.
• Abuse API rate limits or engage in activity that degrades service for other users.
• Use VybeClip to spam, harass, or harm others.

9. Copyright and Intellectual Property Claims

VybeClip respects intellectual property rights and expects users to do the same. If you believe content on VybeClip infringes your copyright, you may submit a DMCA takedown notice to:

Your notice must include:

• Identification of the copyrighted work claimed to be infringed.
• Identification of the allegedly infringing material and its location on VybeClip.
• Your contact information (name, address, phone, email).
• A statement that you have a good faith belief that the use is not authorized.
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.
• Your physical or electronic signature.

Repeat infringers may have their accounts terminated.

10. Disclaimers

VYBECLIP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Warranties that the service will be uninterrupted, error-free, or secure.
• Warranties regarding the accuracy or reliability of AI-generated content.
• Warranties regarding the availability or functionality of third-party platform integrations.

You acknowledge that AI-generated clips and captions may contain errors and should be reviewed before publishing. You are solely responsible for the content you publish to third-party platforms.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VYBECLIP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunities.
• Actions taken by third-party platforms (content removal, account suspension, etc.).
• Damages arising from your use of or inability to use the service.
• Damages arising from unauthorized access to your account or data.

Our total liability for any claims arising from these Terms or your use of VybeClip shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless VybeClip and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of VybeClip or violation of these Terms.
• Your content or any content you upload, create, or publish through VybeClip.
• Your violation of any third-party rights, including intellectual property rights.
• Your violation of any applicable laws or regulations.
• Your violation of any third-party platform's terms of service.

13. Termination

We may suspend or terminate your account and access to VybeClip at any time, with or without cause, including for:

• Violation of these Terms or our Acceptable Use Policy.
• Violation of third-party platform terms of service.
• Fraudulent, abusive, or illegal activity.
• Non-payment of fees.
• Extended periods of inactivity.

Upon termination:

• Your right to use VybeClip immediately ceases.
• We may delete your account data and content in accordance with our Privacy Policy.
• You remain liable for any fees incurred before termination.
• Provisions that by their nature should survive termination will survive (including Sections 4, 10, 11, 12, and 14).

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of VybeClip shall be resolved through:

• Informal Resolution: First, by contacting us at legal@vybeclip.ai to attempt good-faith resolution.
• Binding Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association.
• Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and VybeClip.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
• Notices: We may provide notices via email, in-app notifications, or posting on our website.
